Alpha Product User Agreement

Welcome to the Alpha Product (hereinafter referred to as "Alpha") provided by this Platform (hereinafter referred to as the "Platform"). Before accessing, enabling, or using the Alpha Product, please be sure to carefully read, understand, and agree to this Agreement. By using the Alpha Product, you are deemed to have fully understood the experimental nature and potential risks of such products and agree to be bound by this Agreement. The Alpha Trading Service constitutes part of the services under the User Agreement.

1. Definitions

The Alpha Zone refers to a dedicated trading area established on the BigONE website where users can explore and trade innovative on-chain digital assets. Alpha Assets refer to digital assets available for Alpha Trading Services within the Alpha Zone. Alpha Trading Services refer to services provided by the Platform that allow you to buy, sell, or swap digital assets displayed in the Alpha Zone but not available in the Platform's spot market, by interfacing with underlying blockchain networks, decentralized exchange protocols (DEX), or cross-chain bridges.

2. Introduction

2.1 Alpha Products are high-risk, experimental functional modules that may include, but are not limited to: early-listed assets, beta trading features, smart contracts with unverified stability, and events, benefits, or rewards that are not guaranteed to remain open continuously.

2.2 The Alpha Product may be subject to rule adjustments, function suspensions, asset delistings, or changes to reward or incentive mechanisms at any time due to security, regulatory, technical, or market reasons without prior notice. For Alpha Assets scheduled for delisting, the Platform reserves the right to require users to swap them for other assets within a specified period. Failure to do so may result in the inability to retrieve assets or forced liquidation, for which the Platform assumes no liability.

2.3 Alpha Products do not constitute an investment, financial management, or income commitment. The Platform makes no guarantees regarding any project, asset price, or future performance. BigONE only provides access channels and does not conduct technical audits on the source code integrity, security, logical vulnerabilities, or the presence of malicious backdoors of Alpha Assets. The listing of an Alpha Asset does not represent an endorsement by BigONE of the project team or its technology.

2.4 The volatility of Alpha Assets may be higher than that of other digital assets, carrying higher risks; therefore, they are traded separately from the Platform's spot market. Before trading in the Alpha Zone, you must carefully read and accept this Agreement.

3. Representations and Warranties

3.1 You expressly agree that your use of the Alpha Product is at your own risk. BigONE assumes no responsibility for such risks, losses, or any other adverse outcomes.

3.2 You represent and warrant that: (1) You have the capacity to enter into the Alpha Product User Agreement. (2) You assume all risks associated with using the Alpha Product, including: significant price volatility, potential lack of liquidity, smart contract vulnerabilities, functional anomalies due to the testing nature, and risks resulting from third-party cooperative projects. (3) You have not and will not upload or transmit any malicious code to the Alpha Product or otherwise use any electronic device, software, algorithm, and/or trading method or strategy designed to manipulate Alpha Trading Services. (4) The funds you invest through the Alpha Product must not originate from or be related in any way to money laundering, fraud, smuggling, terrorist financing, or any other criminal activity deemed illegal by relevant authorities and/or jurisdictions. (5) You possess sufficient blockchain technical knowledge to understand the specificities of on-chain transactions, including but not limited to: Gas fee mechanisms, trading slippage, smart contract authorization (Approve) risks, and the non-instant nature of on-chain transaction confirmations.

3.3 If you violate any warranties or representations under this Agreement, the Platform may close any orders or transactions you have placed and/or close or freeze your BigONE account. You shall be solely responsible for all losses resulting therefrom. The Platform reserves the right to notify relevant authorities, assumes no liability arising therefrom, and reserves the right to hold relevant persons accountable.

4. Assumption of Risk

4.1 Crypto assets are virtual products with high volatility and a high risk of rapid loss. Prices may fluctuate significantly on a daily basis. Due to these price fluctuations, the value of your assets may rise or fall significantly at any time, which may result in the loss of all invested funds. Therefore, you should not trade or invest funds that you cannot afford to lose. Before deciding to use Alpha trading, please ensure you fully understand the risks involved and consider your financial situation, experience level, and risk appetite. The price and value of digital assets can fluctuate significantly or collapse at any time. Trading digital assets is the user's personal free choice and decision, and the user assumes all risks and potential losses.

4.2 Alpha is an innovative digital asset trading service based on on-chain interaction. You understand and agree to assume the following specific risks: (1) High Volatility Risk: Most assets in the Alpha Product are early-stage or insufficiently verified tokens, and their prices may fluctuate violently or even drop to zero. (2) Liquidity and Slippage Risk: Alpha trading relies on on-chain liquidity pools. The estimated exchange rate displayed on the trading page is for reference only and does not represent the final transaction price. The actual transaction price may differ due to market volatility or changes in liquidity depth, resulting in "Slippage." BigONE assumes no liability for price differences or loss of profit if slippage exceeds the set range leading to transaction failure or an unexpected execution price. (3) Network Fee (Gas Fee) Risk: Using Alpha Products for on-chain interaction requires payment of blockchain network fees. Regardless of whether the transaction is ultimately successful (including but not limited to failures caused by excessive slippage, insufficient balance, or contract execution errors), incurred Gas fees are collected by the blockchain network and cannot be refunded by BigONE. (4) Smart Contract Risk: Alpha Products may use experimental smart contracts, and the possibility of vulnerabilities, attacks, or execution anomalies cannot be ruled out. BigONE has no technical ability to assist in recovering assets lost, frozen, or destroyed due to such causes. (5) Systemic Risk: Including but not limited to: network congestion, node failure, interface errors, irreversible on-chain assets, etc. (6) Policy and Regulatory Risk: All losses caused by asset restrictions, function closures, or project terminations due to changes in regulatory policies shall be borne by the user. (7) Project Team Risk: The Platform does not participate in the operation of Alpha projects and assumes no responsibility for the actions of project teams, including but not limited to: project termination, changes in tokenomics, loss of contact with the team, illegal fundraising, or withdrawal of liquidity (Rug Pull).

4.3 When you use Alpha for trading, there are also the following risks, and/or you may suffer losses due to the following reasons: (1) Failure of your computer, mobile device, or digital device (including its battery). (2) Unstable internet or mobile connections, including transmission errors, delays, network signal interruptions, or device connection stability issues, preventing you from connecting to the Platform, or causing delays even if connected. (3) Hacker attacks or use of malicious software leading to third parties obtaining your information and/or assets. (4) Incompatibility of your device with the Platform or system specifications, including incorrect settings or system specifications. (5) Any event beyond the Platform's control.

4.4 Although the Platform will make reasonable efforts to ensure the stable and effective operation of Alpha services, the Platform cannot guarantee that there will be no network delays, computer system failures, technical issues related to computers or data feed systems relied upon by BigONE and/or its partners and suppliers, hardware, software, or communication line or system failures, or other force majeure events. These events may lead to service delays, suspensions, interruptions, temporary maintenance, or deviations in the execution of Alpha Product services, resulting in execution results that do not meet your expectations. You acknowledge that BigONE assumes no liability for any such failures (whether or not described above) and is not responsible for any losses caused thereby.

4.5 Digital asset trading may face legal, policy, and regulatory risks in relevant jurisdictions. Competent authorities may enact regulations limiting the use of digital assets or otherwise affecting the demand for digital assets, which may affect the price and value of digital assets. In addition, banks and other financial institutions may refuse to process digital asset transaction funds, process wire transfers between digital asset trading platforms, digital asset-related companies, or service providers, or maintain accounts for individuals or entities engaged in digital asset trading, which may result in your inability to convert held digital assets into fiat currency.

4.6 Your Obligations: You are responsible for determining which laws, regulations, or tax obligations (if any) apply to you or may arise under applicable laws. You are responsible for complying with and fulfilling these obligations, as well as declaring and paying the correct taxes (if any) to the appropriate tax authorities. In particular, you should verify whether your activities require any licensing or registration, including potential registration as a sole proprietor or virtual asset service provider.

4.7 The Platform is not responsible for any claims or losses arising from the aforementioned risks, whether or not such claims or losses are directly or indirectly related to BigONE and/or its partners and suppliers.

4.8 Limitation of Liability: You agree that you shall bear full responsibility for any and all losses that may arise from the characteristics of the Alpha Product. You acknowledge that you assume all risks associated with such services, including but not limited to the risks mentioned in this Agreement.

5. Rights and Obligations of the Platform

5.1 The Platform reserves the right to adjust or terminate the Alpha Product at any time based on operational, risk, compliance, or other needs without separate notice to users. 

5.2 The Platform does not guarantee the continuous operation, stability, or security of the Alpha Product.

5.3 The Platform reserves the right to refuse the use of the Alpha Product by high-risk users. 

5.4 The Platform assumes no liability for compensation for losses caused by force majeure, system failures, on-chain issues, etc. 

5.5 The Platform reserves the right to unilaterally suspend Swap or deposit/withdrawal functions for specific Alpha Assets upon detecting abnormal trading behavior or on-chain risks.

6. Transaction Execution and Failure

6.1 Non-Instantaneous: You understand that on-chain Swap transaction confirmation time depends on blockchain network congestion, and BigONE cannot control the exact time a transaction is recorded on-chain.

6.2 Transaction Failure: If a transaction fails due to insufficient liquidity, price volatility exceeding slippage limits, or contract execution errors, your assets (after deducting gas fees) will be returned to your account, but you will not be entitled to claim opportunity costs.

6.3 Third-Party Protocols: Alpha products may integrate third-party decentralized exchanges (DEXs) or cross-chain bridges. By using Alpha products, you are deemed to be complying with the rules of such third-party protocols. BigONE is not liable for failures or attacks on third-party protocols.

7. Disclaimer

7.1 BigONE may suspend access to the Alpha Product or Platform from time to time for scheduled or emergency maintenance. The Platform will make reasonable efforts to ensure that transactions on the Platform are processed in a timely manner but makes no representations or warranties regarding the time required for completion, which depends on many factors beyond our control (including blockchain network confirmation speeds).

7.2 Although the Platform will make reasonable efforts to update information related to the Alpha Product, we make no express or implied representations, warranties, or guarantees regarding the accuracy, completeness, or timeliness of the content on the Platform (including information related to Platform services).

7.3 You are responsible for obtaining the data network access required to use BigONE services. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use BigONE services, the Platform, and any updates thereto. We do not guarantee that Platform services or any part thereof will function on any specific hardware or device. Platform services may experience malfunctions and delays due to the use of the internet and electronic communications.

8. Miscellaneous

8.1 The content of this Agreement includes various system specifications of the Platform, other agreements or rules related to this Agreement, and other relevant agreements and rules regarding this service that the Platform may publish from time to time. Once officially published, the aforementioned content constitutes an integral part of this Agreement, and you agree that such agreements or rules are legally binding on you.

8.2 If necessary, BigONE reserves the right to unilaterally change the content of this Agreement at any time without prior notice to you. If BigONE unilaterally changes the content of this Agreement, the changed content will be immediately published on BigONE's website. Please check regularly and read the latest information on the website carefully. After the aforementioned changes are published, you understand and agree that if you continue to use the service, you are deemed to have agreed to the changes to this Agreement, and such changes are legally binding on you. If you do not agree to the changes to this Agreement, you should stop using the service.

8.3 If any part of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining parts of this Agreement shall not be affected or impaired in any way. However, if any part of this Agreement is invalid, illegal, or unenforceable under any applicable law of any jurisdiction, such part shall be deemed modified to comply with the minimum requirements of that law for that jurisdiction; or, if for any reason such part is not deemed modified, it shall be invalid, illegal, or unenforceable only to the extent of such invalidity, illegality, or limitation on enforceability, and the legality, validity, or enforceability of the remaining parts of this Agreement or such agreement under the laws of other jurisdictions shall not be affected or impaired in any way.

8.4 BigONE's failure or delay in exercising any right or remedy under this Agreement or laws or regulations shall not be deemed a waiver of its rights or remedies, and any single or partial exercise shall not preclude any other or further exercise of such rights, powers, or remedies.

8.5 You may not transfer, novate, or assign this Agreement or rights and obligations hereunder, in whole or in part, without BigONE's prior written consent. We reserve the right to transfer, novate, or assign any rights or obligations under this Agreement by giving you written notice, which shall be effective from the date of delivery.

8.6 The headings of all parts of this Agreement are for convenience only, have no actual meaning themselves, and shall not be used as a basis for interpreting the meaning of this Agreement.

8.7 BigONE reserves the right of final interpretation of this Agreement.
